Please read these terms carefully before using CoopProfiler
These Terms of Use ("Terms") govern access to and use of Coop Profiler, a digital service provided by The Uhuru Institute for Social Development Ltd.. They apply to the Coop Profiler website, hosted application, mobile components, APIs and related services unless a separate written agreement states otherwise.
By creating an account, accepting these Terms through the platform or using the Service after being given notice of the Terms, you confirm that you have read and accepted them. If you use Coop Profiler for an organisation, you confirm that you are authorised to bind or act for that organisation to the extent required for your use.
If your organisation has a signed Service Level Agreement, Order Form, Client Schedule, Data Processing Agreement or other negotiated agreement with TUI, that document prevails over these Terms to the extent of a direct conflict for the matter it addresses. These Terms remain applicable to matters not changed by that agreement.
The Privacy Policy explains how TUI handles Personal Data in its own capacity and how Coop Profiler supports customer-controlled processing.
You must have legal capacity to use the Service and, where acting for an organisation, sufficient authority to create accounts, submit data, configure permissions and incur charges. Coop Profiler is primarily intended for cooperatives, cooperative networks, partners, institutions and their authorised personnel.
If an organisation permits minors or other legally protected persons to participate in data collection, the organisation is responsible for obtaining any guardian consent, authority or safeguarding arrangements required by law.
Provide accurate registration and organisation information and keep it current.
Use an individual account for each person and do not share passwords or authentication credentials.
Maintain the confidentiality of API keys, tokens and recovery mechanisms.
Use strong authentication and enable additional security controls where provided.
Promptly revoke accounts for people who leave, change role or no longer require access.
Notify TUI promptly if you suspect credential compromise, unauthorised access or misuse.
You are responsible for activity performed through credentials under your control until you notify TUI of suspected compromise, except to the extent the activity is caused by TUI’s breach or security failure.
Subject to payment, plan entitlement and compliance with these Terms, TUI grants you a limited, non-exclusive, non-transferable and non-sublicensable right to access and use Coop Profiler for authorised internal organisational purposes during the applicable subscription or trial period.
You may allow staff and authorised collaborators to use the Service within configured permissions. You may not resell, rent, copy, reverse engineer, scrape, mirror or create a competing derivative service except where a restriction is prohibited by law or TUI gives written permission.
Do not use Coop Profiler for unlawful, fraudulent, abusive or misleading activity.
Do not upload malware, executable content, malicious scripts or material designed to compromise the Service or another person.
Do not attempt to bypass access controls, rate limits, payment entitlements or security restrictions.
Do not access data you are not authorised to view or use another person’s credentials.
Do not upload content that unlawfully infringes intellectual property, privacy, confidentiality or other rights.
Do not materially overload, disrupt or interfere with the Service or connected infrastructure.
Do not use automated tools to extract data at scale except through an authorised API or export function.
Coop Profiler offers Base Subscription Plans for Primary cooperatives, STAs and Partners. A Premium entitlement may add one or more paid Add-ons to an eligible Base Subscription Plan. TUI may also offer a Free Trial with limited duration, member capacity, features or other restrictions.
A paid subscription normally begins after required payment is confirmed and the entitlement is activated. Unless an authorised automatic-renewal method is enabled, renewal requires an invoice or renewal request and payment confirmation.
TUI may issue renewal reminders before expiry. An expired subscription may move through a Grace Period, read-only state, suspension and termination in accordance with the applicable SLA or published subscription policy.
Pricing is determined by the applicable plan, usage measure, member or cooperative quantity, Add-ons, storage, currency, country and any agreed discount. Where a signed Client Schedule or invoice exists, it controls the applicable commercial amount.
Ugandan prices are VAT inclusive unless the applicable quotation or invoice expressly states otherwise. Prices may change for a future renewal or a newly purchased upgrade but do not retroactively alter fees already paid for an active term.
Payments must be made through payment methods designated by TUI. TUI may use regulated payment providers and may require payment verification or evidence for manual bank payments. Failed, reversed or fraudulent transactions do not create a valid paid entitlement.
Premium Add-ons may include Share Certificates, storage capacity or other modules. Add-ons may be separately priced, require an active Base Subscription and co-terminate with the Base Subscription unless the applicable order states otherwise.
Additional File Manager storage may be charged by GB or another unit. TUI may impose file-size limits, permitted file types and security controls. Expiry of paid storage does not cause immediate deletion. Storage may first become read-only and remain subject to a defined retention and controlled-deletion process.
Your organisation retains ownership of data, records and files it submits to or collects through Coop Profiler. TUI does not acquire ownership of Customer Data merely because the Service hosts or processes it.
You grant TUI the limited rights necessary to host, copy, transmit, process, analyse, back up and secure Customer Data for Service delivery, support, authorised improvement, legal compliance and documented instructions.
TUI may use aggregated or de-identified information for research, benchmarking, CRMI analysis, service improvement and statistical reporting where neither an individual nor the customer organisation is reasonably identifiable unless separately authorised.
Coop Profiler may allow cooperatives to grant Partners or other authorised collaborators access to selected data. Access is permission-based and should be limited to the purpose for which it is granted. The data-owning organisation is responsible for deciding whether it has authority to grant the access.
TUI may enforce technical access controls and may suspend sharing that appears unlawful, compromised or inconsistent with platform security.
API access is available only where your plan, Add-on or separate agreement permits it. API credentials are confidential. You must implement appropriate credential storage, rate control and security practices.
TUI may change authentication requirements, rate limits, endpoints or API versions with reasonable notice where practicable. TUI may immediately restrict API use that creates a security risk, materially degrades the Service, attempts unauthorised access or violates these Terms.
The Coop Profiler Privacy Policy forms part of the legal framework for the Service. Where an organisation uses Coop Profiler to collect Personal Data about its members, staff or respondents, that organisation generally acts as Data Controller and TUI generally acts as Data Processor for that customer-controlled data.
You must have a lawful basis to collect and process Personal Data, provide required notices, respect data-subject rights, minimise unnecessary collection and configure access appropriately. TUI will apply the processor obligations in an applicable SLA or Data Processing Schedule.
General website users receive the Service on an as-available basis subject to these Terms. Customers with an SLA receive the availability, support and maintenance commitments stated in that SLA. The general Terms do not reduce a signed SLA commitment.
TUI may perform routine maintenance, planned maintenance and emergency maintenance. TUI may also limit functionality temporarily where necessary for security, integrity, abuse prevention or third-party failure.
TUI continuously improves Coop Profiler and may change interfaces, workflows or implementation details. TUI will not intentionally remove material paid functionality during an active contracted term without reasonable notice or an appropriate alternative unless necessary for security, law or service integrity.
Preview, beta or experimental features may be changed or withdrawn and may be excluded from standard service levels unless expressly contracted.
Where AI-assisted features are offered, their outputs are informational and may contain errors or incomplete conclusions. Users must exercise professional judgement and independently verify material decisions. Separate AI terms may apply to specialised features.
Coop Profiler may depend on hosting, payment, email, analytics, monitoring, mapping, storage or other third-party services. TUI selects and manages providers with reasonable care but is not responsible for third-party outages or acts outside TUI’s reasonable control except to the extent TUI has expressly accepted responsibility in a signed agreement.
TUI owns Coop Profiler and related software, source code, designs, workflows, templates, documentation, trademarks, product improvements and other intellectual property except Customer Data and third-party materials.
Feedback and suggestions may be used by TUI to improve the Service without transferring ownership of your Customer Data or confidential information.
You may stop using the Service and may elect not to renew a paid subscription. A self-service cancellation option is effective only where the platform expressly confirms that it has cancelled future renewal or another contractual commitment.
TUI may suspend or restrict access where there is non-payment after the applicable grace process, material breach, security risk, unlawful activity, fraud, credential compromise or conduct that threatens the Service or other users. TUI will give notice and an opportunity to cure where practicable and appropriate.
After termination, the organisation should export required records during any available Grace Period or read-only period. TUI may retain data for a limited period for recovery, legal obligations, disputes and controlled deletion. Data in protected backups may remain until the backup expires under the normal retention cycle.
TUI does not promise indefinite post-termination storage. The applicable SLA, Data Processing Schedule or published retention policy controls where it provides more specific terms.
TUI will provide paid contracted services with reasonable skill and care. Coop Profiler is a technology and decision-support platform. It does not by itself guarantee legal or regulatory compliance, financial performance, business success, uninterrupted availability or the accuracy of data supplied by users.
Except for express contractual commitments and rights that cannot lawfully be excluded, the Service is provided without additional implied warranties to the maximum extent permitted by law.
To the maximum extent permitted by law, neither TUI nor the customer is liable for indirect, incidental, punitive or consequential loss or loss of profit, revenue, goodwill or anticipated savings arising from use of the Service.
Where a paid customer has no separate liability provision in an SLA or Order Form, TUI’s aggregate liability arising from the Service in any rolling 12-month period is limited to the fees paid or payable by that customer for the affected Service during the 12 months immediately preceding the event giving rise to the claim. This does not limit fraud, wilful misconduct or liability that the law does not permit to be limited.
Nothing in these Terms excludes statutory rights that cannot legally be excluded.
An organisational user is responsible for third-party claims, losses or regulatory consequences arising from unlawful Customer Data, unlawful collection, unauthorised instructions, infringement caused by customer-supplied content or misuse of the Service, except to the extent the loss was caused by TUI’s breach, negligence or unlawful conduct.
You agree that notices, invoices, account communications, acceptance records and other communications may be provided electronically. Electronic contracts and signatures may be used to the extent permitted by the Electronic Transactions Act, Cap. 99 and other applicable Ugandan law.
TUI may update these Terms to reflect legal, security, operational or product changes. Material changes will be communicated through the Service, website, email or another reasonable channel before or when they take effect. Where a change materially affects an existing paid contractual commitment, the signed SLA or Order Form continues to govern unless amended.
TUI may require existing users to accept a new version before continued use where the change is material.
These Terms are governed by the laws of Uganda. Parties should first attempt good-faith resolution. Where a signed SLA contains a dispute-resolution process, that process applies. In the absence of a signed SLA, disputes not resolved through good-faith negotiation are subject to the competent courts of Uganda unless the parties agree in writing to mediation or arbitration.
If part of these Terms is invalid, the remaining provisions remain effective.
Failure to enforce a provision is not a waiver.
TUI may assign these Terms as part of a bona fide restructuring, merger or transfer of the relevant business, subject to applicable law.
Headings are for convenience and do not alter interpretation.
These Terms, the Privacy Policy and any applicable signed agreement form the governing legal framework for the Service.
